This End User License Agreement (“Agreement”) is a legal contract between you (“User” or “you”) and PayMaple LLC (“PayMaple,” “we,” “us,” or “our”) regarding your use of the PayMaple software and services integrated with Clover payment devices (“Software”). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

1. LICENSE GRANT

PayMaple grants you a limited, non-exclusive, non-transferable, and revocable license to use the Software solely for processing payments and related functions through Clover devices in accordance with this Agreement.

2. RESTRICTIONS

You agree not to:

• Modify, copy, distribute, or create derivative works of the Software;

• Reverse engineer, decompile, or disassemble any part of the Software;

• Use the Software for any unlawful or unauthorized purpose;

• Transfer your rights under this Agreement without prior written consent from PayMaple.

3. COMPLIANCE & THIRD-PARTY SERVICES

• You acknowledge that the Software interacts with Clover devices and services, and your use of Clover products is subject to Clover’s terms and conditions.

• You are responsible for ensuring compliance with all applicable laws and regulations related to payment processing.

4. DATA COLLECTION & PRIVACY

• PayMaple may collect and use data related to your use of the Software as outlined in our Privacy Policy.

• You acknowledge and consent to data sharing with Clover for transaction processing and security purposes.

5. TERMINATION

• PayMaple may terminate or suspend this Agreement and your access to the Software at any time if you breach any terms.

• Upon termination, you must cease all use of the Software and uninstall it from your Clover device.

6. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. PAYMAPLE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYMAPLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

8. INDEMNIFICATION

You agree to indemnify and hold harmless PayMaple, its affiliates, and employees from any claims, liabilities, damages, and expenses arising from your use of the Software or violation of this Agreement.

9. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of Illinois, without regard to conflict of law principles. Any disputes arising from this Agreement shall be resolved through arbitration in Illinois in accordance with the rules of the American Arbitration Association.

10. CHANGES TO THIS AGREEMENT

PayMaple reserves the right to modify this Agreement at any time. Continued use of the Software after modifications constitutes your acceptance of the revised terms.
